End User License Agreement for CPT® Content
Effective Date: May 1st, 2026
This End User License Agreement (“Agreement”) is entered into between Ruana LLC (“Licensee”) and you (“End User” or “You”) upon your acceptance of CPT codes in the Ruana software.
Licensed Content is provided under a license from the American Medical Association (AMA). By accepting this Agreement, you agree to the following minimum terms required by the AMA:
- Ownership and Trademarks
The Licensed Content (CPT codes and descriptions) is copyrighted by the American Medical Association and CPT is a registered trademark of the AMA. - Grant of License
You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to use the Licensed Content solely for internal use within the Ruana software and within the Territory. Upon termination or expiration of the agreement between Ruana and the AMA, you will be notified. You shall continue to have the right to use the then-current annual release of Licensed Content through the end of that calendar year (“End User Tail Period”). - Updates
The provision of updated CPT content depends on a continuing contractual relationship between Ruana and the AMA. - Prohibited Actions
You are prohibited from:- Making CPT content publicly available;
- Creating derivative works (including translating);
- Transferring, selling, leasing, licensing, or otherwise sharing the CPT content or any portion of it with any unauthorized party.
- Disclaimer of Warranties
Use of the Licensed Content is at your sole risk and is provided “AS IS” without warranty of any kind.
The AMA does not directly or indirectly practice medicine or dispense medical services. Fee schedules, relative value units, conversion factors and/or related components are not assigned by the AMA, are not part of CPT, and the AMA is not recommending their use. The coding information should be used only as a guide. - Reporting Consent
You consent to Ruana sharing necessary usage information with the AMA for royalty reporting purposes. - U.S. Government End Users Notice
CPT is commercial technical data, which was developed exclusively at private expense by the American Medical Association (AMA), 330 North Wabash Avenue, Chicago, Illinois 60611. This agreement does not grant the Federal Government a direct license to use CPT based on FAR 52.227-14 and DFARS 252.227-7015. - Anyone with authorized access to the Ruana software must comply with this Agreement.
- The AMA is a third-party beneficiary of this Agreement.
- You expressly consent to the release of your name and basic account information to the AMA.
